Terms of Service

1. Introduction

Welcome to Kai—an agentic feed that combines notifications and data from services like Jira, Gmail, Slack, and more (the "Service"). These Terms of Service ("Terms") form a legally binding agreement between you and HelloKai Ltd. ("Kai", "we", "us"). By accessing or using the Service you agree to these Terms and to our Privacy Policy.

2. Eligibility

You must be at least 18 years old—or the age of majority in your jurisdiction—to create an account and use Kai.

3. Changes to Terms

We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

4. The Service

Kai consolidates data from third-party providers you connect and applies OpenAI-powered agents to surface insights, automate workflows, and keep you in flow. Features may vary depending on the plan you select and the integrations you enable.

5. Subscriptions & Billing

Access to Kai is offered on a subscription basis (monthly or annual). Unless you cancel before the renewal date, your plan will automatically renew and the applicable fee will be charged to your saved payment method. Prices may change; we will notify you in advance and give you the option to cancel.

6. Cancellations & Refunds

You may cancel your subscription at any time from your account settings. Your cancellation will take effect at the end of the current billing cycle, and you will retain access to the Service until that date.

14-day right of withdrawal (EU/UK consumers). If you are located in the United Kingdom or the European Union you have the legal right to withdraw from your initial subscription purchase within 14 days without giving a reason, in accordance with the UK Consumer Contracts Regulations 2013 and the EU Consumer Rights Directive 2011/83/EU. The withdrawal period expires 14 days after the day the contract is concluded.

By signing up you request immediate access to the Service. If you exercise your right of withdrawal during the 14-day period, we will refund the amount paid minus a proportionate charge for the days during which the Service was made available prior to withdrawal, as permitted by law. If you do not wish to waive part of your statutory right, please wait 14 days before using the Service.

To exercise the right of withdrawal or request any other refund please email billing@hellok.ai or write to us at the address set out in Section 17. We will reimburse eligible amounts using the same payment method you used for the original transaction within 14 days of acknowledging your request.

Nothing in this Section limits any mandatory rights you may have under applicable consumer-protection legislation, including the right to a refund if the Service is not supplied with reasonable care and skill or otherwise fails to conform to these Terms.

7. Your Account

  • Provide accurate, up-to-date information.
  • Keep your password confidential.
  • You are responsible for all activity that occurs under your credentials.

8. Acceptable Use

You agree not to:

  • Violate any laws or regulations.
  • Infringe the rights of others.
  • Upload malicious code or attempt to gain unauthorised access to systems.
  • Use the Service to generate or distribute unlawful or harmful content.

9. Integrations & Third-Party Services

Kai relies on APIs from third-party providers (e.g., Google, Atlassian, Slack). Your use of those services is governed by their respective terms. We are not responsible for third-party services or for data loss resulting from changes to their APIs.

10. Intellectual Property

Kai and its licensors own all intellectual-property rights in the Service, including software, branding, and content we provide. We grant you a limited, non-transferable licence to use the Service for your internal business or personal purposes. You may not reverse-engineer, resell, or exploit the Service.

11. Feedback

Feedback you provide is voluntary. You grant us a perpetual, royalty-free licence to use it to improve the Service.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Kai's aggregate liability arising out of or relating to these Terms shall not exceed the fees you paid to Kai in the 12 months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold Kai and its affiliates harmless from any claims or losses arising from your use of the Service or violation of these Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Courts in London shall have exclusive jurisdiction.

16. Termination

We may suspend or terminate your access at any time if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 30 days.
